AGRICULTURAL DRONE SERVICE AGREEMENT

This Service Agreement (“Agreement”) is entered into between:

1. Scope of Services

1.1 The Service Provider agrees to perform workshop-based inspection, diagnostic, and repair services on agricultural unmanned aerial vehicles (UAVs).

1.2 Services are limited to those specified in the selected Care Plan or individual repair quotation.

1.3 All services are performed exclusively at the Heidelberg workshop facility.

1.4 No on-site callouts or field repairs are included unless separately contracted in writing.


2. Service Model

2.1 Equipment must be delivered to the workshop by the Client.

2.2 Risk of transport remains with the Client until written intake confirmation is issued.

2.3 Upon receipt, a diagnostic inspection will be conducted.

2.4 A written quotation will be issued for approval prior to repair work commencing.

2.5 No repair work proceeds without written authorization.


3. Care Plan Terms (If Applicable)

3.1 Care Plans are annual and prepaid.

3.2 Care Plan benefits apply only during the contracted period.

3.3 Unused inspections do not roll over to subsequent years.

3.4 Care Plans are non-refundable once inspection services have been rendered.

3.5 Repair discounts apply to labour only unless otherwise specified.


4. Turnaround Times

4.1 Turnaround times are estimates and subject to:

  • Workshop capacity
  • Parts availability
  • Seasonal demand

4.2 No fixed SLA is guaranteed unless specifically stated in writing.


5. Parts & Components

5.1 Replacement parts are billed separately.

5.2 Parts availability is dependent on third-party suppliers including but not limited to:

  • DJI
  • XAG

5.3 The Service Provider is not liable for supplier delays.


6. Battery & High-Voltage Systems

6.1 Agricultural UAV battery systems operate at high voltage and present inherent risk.

6.2 The Client acknowledges that:

  • Lithium battery degradation is normal over time
  • Performance cannot be guaranteed post-service
  • No firmware-level BMS modification is performed

6.3 The Service Provider is not liable for:

  • Thermal events occurring after collection
  • Battery misuse
  • Improper storage by Client

7. Limitation of Liability

7.1 The Service Provider’s liability is limited to the value of the labour invoice issued for the specific service.

7.2 The Service Provider is not liable for:

  • Crop loss
  • Operational downtime
  • Loss of income
  • Indirect or consequential damages

7.3 All UAVs remain the operational responsibility of the Client.


8. Warranty on Repairs

8.1 Labour workmanship warranty: 30 days from collection.

8.2 Warranty excludes:

  • Crash damage
  • Chemical corrosion
  • Operator misuse
  • Firmware-related manufacturer changes
  • Third-party modifications

8.3 Warranty claims must be reported in writing.


9. Abandoned Equipment

9.1 Equipment not collected within 60 days of notification may incur storage fees.

9.2 After 120 days of non-collection, equipment may be sold to recover outstanding costs.


10. Payment Terms

10.1 Diagnostic fee payable upon assessment.

10.2 Repairs payable prior to release of equipment.

10.3 Care Plans are prepaid annually.

10.4 Equipment will not be released until account is settled in full.


11. Governing Law

This Agreement is governed by the laws of the Republic of South Africa.

Jurisdiction: Western Cape High Court.
